Code of Conduct and Ethics for Suppliers and Partners<\/strong><\/p>

Baticlick is committed to acting honestly and ethically. We expect the same of our suppliers and partners (collectively referred to as \u201csuppliers\u201d for the sake of clarity).<\/p>

The Baticlick Code of Conduct and Ethics sets out the principles of appropriate behaviour and ethical conduct for Baticlick employees. This Code of Conduct and Ethics sets similar standards for our suppliers.<\/p>

References in this Code to \u201cBaticlick\u201d include Baticlick S\u00e0rl. There are no subsidiaries. This Code applies to all suppliers of goods or services, or any person otherwise engaged in a business relationship with any Baticlick entity, and to their clients, their employees, agents and contractors supplying goods to or performing services for Baticlick or its clients (i.e. website users). It is the supplier\u2019s responsibility to disseminate, educate and exercise due diligence in verifying compliance with the principles of this Code by its employees, agents and sub-tier suppliers.<\/p>

Assets and Information<\/strong><\/p>

Suppliers must protect Baticlick\u2019s assets and information. Suppliers who have been granted access to Baticlick\u2019s assets, whether tangible or intangible, must use them only within the scope of the authorisation granted by Baticlick and for the purposes of their engagement with Baticlick and its clients. Suppliers who have been granted access to Baticlick\u2019s confidential information must not share this information with anyone unless authorised to do so by Baticlick. If a supplier believes they have been granted access to Baticlick\u2019s confidential information in error, they must immediately notify their contact at Baticlick and refrain from further distribution of the information. Suppliers must not share with anyone at Baticlick information relating to any other person or organisation if the supplier is under a contractual or legal obligation not to disclose such information.<\/p>

Bribery and Corruption<\/strong><\/p>

Baticlick has a zero-tolerance policy regarding the offering or acceptance of bribes or kickbacks. In connection with any transaction as a supplier to Baticlick, or that otherwise involves Baticlick, suppliers must not transfer anything of value, directly or indirectly, to anyone, including government officials, employees of government-controlled entities, or employees of Baticlick or any other organisation, in order to obtain any improper benefit or advantage. Suppliers acting on behalf of Baticlick must comply with all applicable local laws relating to bribery. Suppliers must keep a written record of all payments (including any gifts, meals, entertainment or anything else of value) made on behalf of Baticlick, or from funds provided by Baticlick. Suppliers must provide a copy of this record to Baticlick upon request.<\/p>

Gifts, Meals, Entertainment and Other Business Courtesies<\/strong><\/p>

Baticlick employees may exchange gifts, meals, entertainment and other business courtesies with suppliers only if they are reasonable, infrequent and of modest value, and consistent with local law, custom and practice. In some cases, Baticlick employees may be subject to financial limits on the value of such business courtesies that may be given or received. In all cases, Baticlick employees must never offer or accept such courtesies in circumstances where they could influence, or appear to influence, decision-making. Furthermore, they must never give or receive cash. We expect our suppliers to respect these restrictions.<\/p>

Conflicts of Interest<\/strong><\/p>

Baticlick employees should act in Baticlick\u2019s best interests when conducting Baticlick business. They should have no relationship \u2013 financial or otherwise \u2013 with any supplier that might conflict, or appear to conflict, with their obligation to act in Baticlick\u2019s best interests. Suppliers must not have any financial relationship with any Baticlick employee with whom they may interact as part of their dealings with Baticlick. Suppliers should ensure that any personal relationship with a Baticlick employee is not used to influence that employee\u2019s business judgement. If a supplier has a family connection or other relationship with a Baticlick employee that might constitute a conflict of interest, the supplier should disclose this fact to Baticlick or ensure that the Baticlick employee does so.<\/p>

Obligations to Provide Reliable Information<\/strong><\/p>

Suppliers who are registered on the Baticlick platform and provide information about their company, terms and conditions of sale, as well as any information on their products and services (delivery and returns policies, eco-labels, eco-ratings, prices, etc.) must ensure that the information provided is reliable and kept up to date so that anyone reviewing these details can rely on them. Baticlick has the right and obligation to remove any supplier from the platform should any breach be identified and confirmed.<\/p>

Speaking Up<\/strong><\/p>

Suppliers who believe that a Baticlick employee, or anyone acting on behalf of Baticlick, has engaged in illegal or improper conduct, should report the matter to Baticlick. Suppliers can raise the issue with the employee\u2019s manager or contact Baticlick\u2019s ethics and compliance team at contact@baticlick.com. A supplier\u2019s relationship with Baticlick will not be affected by an honest report of potential misconduct.<\/p>

Records and Reporting<\/strong><\/p>

Suppliers must keep accurate records of all matters relating to their business with Baticlick, including the proper recording of all expenses and payments. If Baticlick is being charged for a supplier\u2019s employees\u2019 time, time records must be complete and accurate. Suppliers should not delay sending an invoice or otherwise allow an expense to be carried over to a different accounting period.<\/p>

Implementation and Compliance<\/strong><\/p>

By accepting any purchase order or agreement that refers to this Code, the supplier undertakes to ensure that all its operations comply with the provisions set out in this Code. This Code, or the demonstration of compliance with it, does not create any third-party beneficiary rights for the supplier. The standards set out in this Code are in addition to, and do not replace, the provisions of any legal agreement or contract between suppliers and Baticlick. Baticlick reserves the right to carry out random reviews of the supplier\u2019s policies, procedures or any other documents relating to compliance with this Code. In some cases, Baticlick may require an audit of a supplier\u2019s compliance with this Code.<\/p>

Baticlick reserves the right to amend this document as necessary, for example, to comply with changes to laws, regulations or Baticlick\u2019s practices and procedures.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
